The data provided in the operations pro forma provides a comprehensive overview of the environment for active adult living, independent living, assisted living, and memory care assisted living in the Mt. Juliet marketplace. The ownership structure is an LLC between minority investors and Operating Company. The ownership distribution for Mountain Brook Partners investors will be based upon the development and land contribution. Other minority investors will be based upon cash contribution. Mountain Brook Partners investors are not required to provide any guarantees for financing. Minority Cash Investors and Minority Operating Company will also contribute cash and provide all necessary guarantees for both construction and post-construction financing.
Mountain Brook Partners intent with the development is to find a long-term property investor to take out minority partners at a designated future date.
